Appia Rare Earths & Uranium Corp. announced a restructuring tied to its Brazilian rare earth assets, giving the company a 25% stake in U.S.-based Ultra Rare Earth Inc. The move could improve governance alignment, financing flexibility, and U.S.-aligned positioning amid rising geopolitical competition for critical minerals. However, REEx views the transaction as strategically logical but still operationally unproven.
Accordingto the May 22, 2026 announcement, Ultra USA and its subsidiary Ultra Bahamas will control 100% of Ultra Brasil’s Goiás rare earth projects following closing. Management cited “changing geopolitical considerations” for accelerating the transaction before completion of the prefeasibility study (PFS).
Investors should recognize this remains an early-stage speculative rare earth story. No completed PFS, validated recovery economics, capex estimates, or downstream processing strategy have yet been publicly disclosed. Key questions remain around separation capability, funding requirements, metallization, alloying, magnet partnerships, and commercial scalability.
REEx continues to emphasize that the true rare earth bottleneck is rarely the mine itself. The real chokepoints remain solvent extraction separation, refining, metals, alloys, magnets, and customer qualification at industrial scale.
At this stage, Appia’s Brazilian rare earth story remains promising—but still largely unproven.
